By accessing or using the AgriVerse-X platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

Additional Agreements: Your use of specific services may be subject to additional guidelines, terms, or rules, which will be posted with those services. All such additional terms are incorporated by reference into these Terms.

2. Eligibility

To use AgriVerse-X, you must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Not be prohibited from receiving our services under applicable laws
Provide accurate and complete registration information
Maintain the security of your account credentials

Verification Required: For certain transactions, additional verification may be required, including government-issued ID and proof of address.

4. Marketplace Rules

As a marketplace, we provide a platform for buyers and sellers to connect. Important rules:

Clear shipping and return policies
Timely order fulfillment
Compliance with agricultural regulations
Valid permits for regulated products

For Buyers

Payment as agreed in listings
Inspection upon delivery when applicable
Respect for seller return policies
Compliance with import/export regulations
Prompt communication with sellers

5. AVX Tokens

AVX Token Usage

AVX tokens are utility tokens for the AgriVerse-X ecosystem
Tokens can be earned through platform participation
Tokens can be used for transactions, fees, and rewards
Tokens may be traded on supported exchanges

Token Risks

Cryptocurrency Risks: AVX tokens are cryptocurrencies with inherent risks including price volatility, regulatory changes, and technological risks. You acknowledge and accept these risks.

Wallet Security: You are solely responsible for securing your AVX wallet and private keys. We are not responsible for lost or stolen tokens.

6. Fees & Payments

Transaction Fees

Sellers pay a 3% transaction fee on successful sales
Buyers pay no transaction fees
AVX token transactions may have gas fees
Payment processing fees may apply

Payment Terms

Payments are processed through secure gateways
Funds are held in escrow until order completion
Sellers receive payment after delivery confirmation
Currency conversion rates apply for international transactions

Refund Policy

Refunds are processed according to seller policies
Disputes are mediated by AgriVerse-X support
Refunds may take 5-10 business days to process
AVX token refunds are subject to blockchain confirmation times

7. User Conduct

Prohibited Conduct

Fraud, deception, or misrepresentation
Harassment or abusive behavior
Spamming or unsolicited communications
Price manipulation or market abuse

Circumventing platform fees or policies
Creating multiple accounts for abuse
Reverse engineering or hacking attempts
Violating any applicable laws or regulations

Consequences: Violation of these conduct rules may result in account suspension, termination, or legal action.

8. Content Policy

No false advertising or misleading claims
Respect intellectual property rights
No hate speech or discriminatory content

User Content License

By posting content on AgriVerse-X, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content for the purpose of operating and improving our platform.

Platform Content

All platform content (excluding user content) is owned by AgriVerse-X and protected by intellectual property laws. You may not use our content without permission.

10. Termination

Termination by User

You may terminate your account at any time through your account settings. Outstanding obligations must be fulfilled before termination.

Termination by Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users or our platform.

Account Deletion: Upon termination, your right to use the Service will immediately cease. We may retain certain information as required by law or for legitimate business purposes.

11. Disclaimer

No Warranty

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. AgriVerse-X disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Service Availability

We do not guarantee that the Service will be available at all times, uninterrupted, secure, or error-free. We may modify, suspend, or discontinue any aspect of the Service at any time.

Third-Party Transactions: We are not a party to transactions between users. We provide a platform for connection but do not guarantee the quality, safety, or legality of items listed.

12. Limitation of Liability

Limitations

To the maximum extent permitted by law, AgriVerse-X shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content
AVX token price fluctuations or loss

Maximum Liability: In no event shall AgriVerse-X's aggregate liability exceed the greater of $100 USD or the amount you have paid us in the past six months.

13. Indemnification

You agree to defend, indemnify, and hold harmless AgriVerse-X and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with:

Your access to or use of the Service
Your violation of these Terms
Your violation of any third-party right
Your conduct in connection with the Service
Any products or services you list or sell

14. Dispute Resolution

Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class-wide arbitrations.

Dispute Resolution: For user-to-user disputes, we provide a mediation service. Please contact support@agriverse-x.com for assistance.

15. Changes to Terms

Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the platform or via email.

Notification

Continued use of the Service after changes constitutes acceptance of the new Terms. If you disagree with changes, you must stop using the Service.

15. Participation Agreement & Legal Disclaimer

By clicking "I Agree" and purchasing AVX Revenue Units, you (the "Partner") acknowledge and accept the following terms and conditions:

1. Nature of the Relationship

Commercial Partnership: Acquisition of AVX Revenue Units constitutes a commercial participation agreement in the AVX ecosystem. It does not represent equity ownership, voting rights, or traditional shares in AgriVerse-X as a corporate entity.

Revenue-Based Sharing: Partners are entitled to a percentage of the Gross Transactional Revenue processed through the AVX app. This share is calculated based on active global volume and is distributed in USD.

2. Revenue Projections & Risk

No Guarantee of Yield: While AVX provides earning projections based on market data (e.g., Uber or Amazon scales), these are estimates only. Actual revenue is dependent on user adoption, market demand for skills, and agricultural output.

Market Volatility: The value of agricultural products and professional services can fluctuate. AVX is not responsible for global market shifts that may affect daily revenue volume.

3. Internal Marketplace & Reselling

Exclusive Resale: AVX Revenue Units may only be resold through the Internal AVX Exchange located within the app.

Liquidity: While AVX provides the platform for reselling, the "Exit" (selling your units) is dependent on findind a willing buyer within the ecosystem. AVX does not guarantee a buy-back of units.

4. Payments, Payouts & Stripe Integration

Third-Party Processing: All financial transactions are processed via Stripe. Users must comply with Stripe's Terms of Service and complete all KYC (Know Your Customer) requirements to withdraw funds.

External Transfers: Users are permitted to transfer USD earnings to external wallets or bank accounts. AVX is not liable for funds lost due to incorrect wallet addresses provided by the user or security breaches on the user's personal devices.

5. Regulatory Compliance & Taxes

User Responsibility: Partners are solely responsible for reporting and paying any taxes required by their local jurisdiction on earnings derived from the AVX platform. Anti-Money Laundering (AML): AVX reserves the right to freeze accounts or flag transactions that appear suspicious or violate international AML laws.

6. Platform Modifications

AgriVerse-X reserves the right to update app features, service fees, or the technical architecture of the RPP to ensure the long-term sustainability of the ecosystem. Partners will be notified of major changes via in-app alerts.

Data Privacy: AVX does not sell user data. Your biometric and financial data is encrypted and managed via Stripe's secure infrastructure. Escrow Protection: All service-based payments are held in escrow. AVX acts as the final arbiter in disputes between clients and service providers to ensure fair payout.
